Tolaram Corporation’s acquisition of a majority stake in Guinness Nigeria has reached a valuation of $355 million, or approximately N486.8 billion, marking a fivefold increase over the past two years.

Tolaram’s purchase price of N81.60 per share represented a 63 percent premium over the stock’s 30-day volume-weighted average price (VWAP) (and roughly a 23 percent to 61 percent premium over market closing prices prior to the deal). Tolaram Corporation acquired roughly 1.27 billion shares (58.02 percent of total shareholding).

Despite recent market dip, at N383 per share, the stock is now trading at approximately five times higher than Tolaram’s acquisition entry price, reflecting the strong market re-rating of the company following its financial turnaround.
As part of the deal, Diageo retained ownership of the core Guinness brand, licensing it back to Guinness Nigeria under long-term royalty agreements while Tolaram assumed full operational stewardship.
Guinness Nigeria underwent a dramatic financial transformation following Tolaram’s entry. Before the takeover in mid-2024, the brewer was battling severe macroeconomic headwinds from naira devaluations. Today, under Tolaram’s operational overhaul, the company has executed a complete balance sheet recovery.
Despite generating N299.5 billion in revenue in 2024, massive foreign exchange (FX) losses stemming from the floating of the naira resulted in a net loss of N54.77 billion, wiping out nearly all of the company’s equity.
In 2025, the transition started as Tolaram shifted the company’s financial year to end on December 31. During an extended 18-month reporting cycle ending December 2025, Guinness reported N730.8 billion in revenue and turned a net profit of N41.2 billion.
Further into 2026, the strong momentum continued as Guinness Nigeria reduced its debt load, slashing finance costs by over 64 percent and completely wiping out its negative retained earnings. Half-year (H1) 2026 net profit jumped to N25.30 billion, enabling the board to declare interim dividends for shareholders.
Year-to-date (YtD), Guinness Nigeria has declared a total of N9 per share in interim dividends for 2026, signaling a full operational recovery and a strong commitment to delivering shareholder value under Tolaram’s leadership.
In Q1′ 2026, an interim dividend of N2 per share was declared in April 2026 following Q1 PAT of N10.39 billion. In Q2′ 2026 interim dividend of N7 per share was declared in May 2026 following strong Q2 financial performance.
The interim dividend paid on April 24 marked Guinness Nigeria’s return to dividend payments after nearly four years without a payout, supported by a 48 percent year-on-year (YoY) jump in first quarter (Q1) net profit to N10.39 billion.
Not only has its investment in Guinness Nigeria shares risen by over five times, based on Tolaram’s 58.02 percent majority stake in Guinness Nigeria Plc (which consists of roughly 1,270,362,558 shares), but Tolaram Corporation also receives the majority portion of the dividend payouts. Tolaram Corporation has collected approximately N11.43 billion in cash dividends from Guinness Nigeria, rapidly recovering a notable portion of its original initial purchase investment.
